2017 Report on Governance Professional Remuneration

We are pleased to present our 2017 Report on Governance Professionals Remuneration, in partnership with the Governance Professionals of Canada (“GPC”). GGA teamed up with GPC for the fourth consecutive year to conduct the Compensation Survey which surveyed governance professionals roles, responsibilities and compensation among member organizations.

This study includes results from members of the Society at 124 Canadian organizations and summarizes the surveyed compensation information including Base Salary, Short-Term Incentive (STIP), Long-Term Incentive (LTIP), and Total Direct Compensation for each of the following roles: Corporate Secretary, Internal General Counsel, Internal Legal Counsel, Corporate Secretary and Internal General Counsel, Paralegal Assistant Secretary, Board Administrator, Chief Governance Officer and External Counsel. It also includes compensation structure information and information on the importance and satisfaction of certain career aspects valued most by members. As an addition in 2017, GGA has also surveyed participants on their reporting relationships and how they manage any conflicts that may arise. Additional information was obtained on educational opportunities provided to participants that will be used to shape future GPC programming. We will continue to examine these areas in future years to provide participants with a sense of the evolving nature of the governance professional role. This detailed report provides unique insights and in-depth data and analysis to assist you in benchmarking your organization’s governance professional remuneration practices, roles and responsibilities against your peers.
