Entity Management: Governance for Subsidiaries

Course description

Many organizations structure themselves through multiple legal entities for different reasons: they operate in multiple jurisdictions, they have several businesses or for tax considerations. Supporting multiple entities in an organization’s group can create challenges from a governance perspective.

Join GPC to learn about how governance professionals can effectively meet the unique challenges of governance within a group of multiple entities.

The first part of the session will give participants an overview of the legal and conceptual frameworks around subsidiary governance frameworks, practical tips for working with multiple subsidiaries and emerging issues in the governance of multiple entities.

The second part of the session will include a panel of experts working in the filed of entity management in Canada to give participants a unique insight into modern issues on the subject. 

Learning outcomes

  1. Understand different subsidiary governance frameworks (centralized and decentralized) and how legal entities relate to business or functional structures.
  2. Learn how to manage better the potential risks if appropriate corporate governance requirements are not followed (for example, piercing the corporate veil).
  3. Gain insight into who should serve as directors for subsidiaries and how they should carry out their duties, including conflicts of interest and confidentiality concerns.
  4. Appreciate the unique challenges of international groups of entities, both from the perspective of the parent and the subsidiary.
  5. Understand the importance of separate legal entities and the legal requirements and duties that flow from that separateness.

In-house counsel; other governance professionals inside organizations who work with the boards of corporations and other organizations; external governance professionals who advise the boards of corporations and other organizations.
