2023 Report on Governance Professionals Responsibilities & Remuneration

GPC teamed up with GGA for the seventh time to conduct the survey which surveyed governance professional roles, responsibilities and compensation among member organizations.

This study includes results from members of the GPC at a strong representation of public, private, not-for-profit and Crown Corporations among Canada and summarizes the surveyed compensation information including Base Salary, Short- Term Incentive (STIP), Long-Term Incentive (LTIP), and Total Direct Compensation for each of the following roles: Corporate Secretary, Internal General Counsel, Corporate Secretary and Internal General Counsel, Assistant Secretary, Board Administrator, Governance Professional and Chief Governance Officer, where possible. It also includes compensation structure information and information on the evolving nature of the role that governance professionals play within their organizations. Greater focus was also placed on the impact that ESG is having on compensation and the role played by governance professionals in influencing an organization’s ESG efforts. Additional information was obtained on educational opportunities provided to participants that will continue to be used to shape future GPC programming. This detailed report provides unique insights and in-depth data and analysis to assist you in benchmarking your organization’s governance professional remuneration practices, roles and responsibilities against your peers.
